Terms of Service

1. Agreement to These Terms

These Terms of Service (“Terms”) govern your use of EBN-AI, including ebn-ai.com, member tools, account features, content, and related services (collectively, the “Services”). The Services are operated by Shapeshift World (“Shapeshift World,” “we,” “us,” or “our”).

By creating an account, purchasing a membership, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. EBN-AI Services

EBN-AI provides AI-assisted networking insights, connection guidance, content and efficiency tools, and related member resources. EBN-AI provides guidance, not guarantees. Recommendations may be helpful, but you remain responsible for your own outreach, decisions, relationships, and business results.

3. Accounts and Eligibility

You must provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized use. You are responsible for activity under your account.

Some EBN-AI benefits, including Historical List Access, are available only to active paying Empowered Business Networking members. If your EBN membership is not active, those EBN-specific benefits are not available.

4. Plans, Payments, Renewals, and Refunds

Plan features, pricing, and billing terms are presented at the time of purchase. We may update plans or pricing prospectively, with notice where required.

Annual purchases are nonrefundable. Annual purchasers retain full access to the AI tools, content creation, efficiency tools, EP trackers, and Task Tabby for the term of their license.

You may upgrade from Starter to Pro. A transition plan may be available upon request. Roadmap enhancements are included with paid EBN-AI Pro memberships as they are released, and enhancements by request may be available.

5. Acceptable Use

You may use EBN-AI only for lawful business and networking purposes. You may not:

• Use the Services to violate law, infringe rights, harass, deceive, spam, or misrepresent yourself;
• Attempt to access accounts, data, or systems without authorization;
• Reverse engineer, copy, resell, or create competing services from the Services or their content except as permitted by law;
• Use the Services to distribute malicious code, harmful content, or unsolicited bulk messages; or
• Interfere with the operation or security of the Services.

6. Your Content and Feedback

You retain ownership of the information and content you provide. You grant Shapeshift World a limited, nonexclusive right to use that content only as needed to operate, support, and improve the Services.

If you submit feedback, suggestions, or enhancement requests, you allow us to use them without obligation or compensation.

7. Intellectual Property

EBN-AI, its software, branding, content, designs, tools, and underlying materials are owned by Shapeshift World or its licensors and are protected by applicable intellectual-property laws. These Terms do not transfer ownership to you.

8. Third-Party Services

EBN-AI may link to or integrate with third-party services, including payment, video, hosting, login, and communication providers. Those services are governed by their own terms and policies. We are not responsible for third-party services or their availability.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPESHIFT WORLD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee business results, referrals, sales, speaking opportunities, uptime, or that any recommendation will produce a particular outcome.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPESHIFT WORLD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPESHIFT WORLD’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SHAPESHIFT WORLD FOR EBN-AI IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Suspension and Termination

We may suspend or terminate access if you violate these Terms, create risk for the Services or others, fail to pay applicable fees, or if we are required to do so by law. You may stop using the Services at any time, subject to your paid plan terms.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. You agree that any dispute arising from these Terms or the Services will be brought exclusively in the state or federal courts located in Arizona, and you consent to their jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of the Services after the updated Terms take effect means you accept the updated Terms.
